Terms of Service

Please read these Terms of Service carefully. They contain important information about your legal rights, including a binding arbitration provision and class action waiver in Section 16.

1. Acceptance of These Terms

These Terms of Service (“Terms”) are a binding agreement between you and GoFlowstate LLC (“Flowstate,” “we,” “us,” or “our”) governing your access to and use of the Flowstate platform, including our websites, mobile and desktop applications, and related services (collectively, the “Platform”). By creating an account, clicking “I agree,” or otherwise accessing or using the Platform, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and capable of forming a binding contract to use the Platform. The Platform is not directed to children, and we do not knowingly allow anyone under 18 to register. If you use the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to both you and the organization.

3. The Platform

Flowstate is a collaboration and venture-creation platform. Depending on the features available to you, members can build a verified professional identity (a “Passport”), join and contribute to shared workspaces (“Spaces”) and community ventures (“Novas”), participate in structured exercises and sessions, complete bounties and other contribution opportunities, and earn platform credits (“Flow Credits”) and recognition for verified contributions.

We are continually improving the Platform and may add, modify, or discontinue features at any time. Certain features may be offered in beta or preview form and may not perform reliably. Where required by law, we will provide reasonable notice of material changes that adversely affect you.

4. Your Account

  • Provide accurate, current, and complete registration information, and keep it updated (including your mobile number, as described in Section 5).

  • Maintain the confidentiality of your login credentials. You are responsible for all activity that occurs under your account.

  • Notify us promptly at [email protected] of any unauthorized access to or use of your account.

  • Maintain only one personal account, and do not impersonate any person or misrepresent your affiliation with any person or entity.

5. Text Message (SMS) Program Terms

This Section 5 governs Flowstate’s text messaging programs, delivered through our messaging service providers (currently Twilio Inc.).

5.1 Program Description

If you opt in, Flowstate will send you text messages that may include: (a) account and security notifications, such as login verification codes; (b) participation alerts, such as a notification when it is your turn to participate in an exercise, session, or other collaborative activity; (c) reminders and status updates about Spaces, Novas, bounties, or activities you have joined; and (d) responses to messages you send us. Marketing or promotional text messages are sent only if you separately and expressly opt in to receive them.

By providing your mobile phone number and opting in (for example, by checking the SMS consent box during signup or in your settings, or by texting an opt-in keyword to our number), you expressly consent to receive the text messages described above from Flowstate at the number you provided, including messages sent using automated technology. Consent to receive text messages is not a condition of purchasing any goods or services or of using the Platform. Your consent applies to the Flowstate messaging program only and is not transferable or assignable to any other party or program.

5.3 Message Frequency and Cost

Message frequency varies based on your account activity, the Spaces and activities you join, and your notification settings. Message and data rates may apply. Any charges billed by your mobile carrier are your responsibility. Check with your carrier for details about your plan.

5.4 Opting Out

You can cancel the SMS service at any time. Reply STOP to any Flowstate text message, and we will stop sending you messages under that program. We also honor opt-out requests made with the words CANCEL, END, QUIT, UNSUBSCRIBE, OPT OUT, REVOKE, or STOPALL, and any other reasonable method of revoking consent, including adjusting your notification settings in the app or emailing [email protected].

After you opt out, we may send you a single message confirming your opt-out and, if your request is ambiguous about its scope, a single message asking you to clarify. We will process every revocation as soon as practicable and in any event within ten (10) business days of receipt. You can re-join at any time by opting in again.

5.5 Help and Support

For help, reply HELP to any Flowstate text message or email [email protected].

5.6 Delivery; Carrier Disclaimer

Text message delivery is subject to effective transmission by your mobile carrier and network availability and is not guaranteed. Wireless carriers are not liable for delayed or undelivered messages. Flowstate is not responsible for delays or failures in delivery caused by carriers, networks, or other circumstances outside our reasonable control.

5.7 Your Mobile Number

You represent that you are the current subscriber or customary user of the mobile number you provide. You agree to notify us promptly and update your account before you change, deactivate, or transfer your mobile number, so that messages intended for you are not sent to someone else.

5.8 Mobile Information and Privacy

Our Privacy Policy (goflowstate.com/privacy) describes how we handle information collected in connection with the SMS program. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes, and text messaging originator opt-in data and consent will not be shared with any third parties.

6. Flow Credits, Payments, and Fees

Flow Credits. Flow Credits are a limited, revocable, non-transferable feature of the Platform used to recognize contributions and unlock certain functionality. Except where expressly stated by Flowstate in writing or required by applicable law, Flow Credits have no cash value, are not redeemable for money, do not constitute property, a deposit, an investment, or a security, and may not be sold, exchanged, or transferred outside the Platform. We may modify the rules for earning, holding, and redeeming Flow Credits with reasonable notice.

Paid Features. Some features may require payment. Prices, billing terms, and any applicable taxes will be disclosed at the point of purchase. Payments are processed by third-party payment processors, and their terms apply to payment transactions. Except as required by law or expressly stated by us, payments are non-refundable.

7. User Content and License

You retain ownership of the content you create, upload, or submit to the Platform (“User Content”). You grant Flowstate a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt, publish, display, and distribute your User Content solely as needed to operate, improve, secure, and promote the Platform, consistent with your visibility and privacy settings. You are solely responsible for your User Content and represent that you have all rights necessary to grant this license. If you provide feedback or suggestions, we may use them without restriction or obligation to you.

8. Contributions, Bounties, and Attribution

  • Contributions you make in shared Spaces and Novas are visible to other participants in those environments and may be recorded by the Platform, including through verification technologies, to support attribution, recognition, and reward. Attribution records associated with collaborative work may be retained even after you leave a Space or Nova, or after account termination, so that other members’ work and ownership records remain accurate.

  • Bounties and similar contribution opportunities are arrangements between the posting party and the accepting party. Unless expressly stated otherwise, Flowstate is not a party to those arrangements and does not guarantee performance, payment, or outcomes. Ownership of bounty deliverables is determined by the terms of the applicable bounty or Nova governance documents.

  • Additional policies, including our Community Guidelines and the Nova Cove Attribution Policy, apply to contributions and are incorporated into these Terms.

9. Acceptable Use

You agree not to, and not to attempt to:

  • Use the Platform for any unlawful, fraudulent, or deceptive purpose, or in violation of any applicable law, including anti-spam and telemarketing laws such as the TCPA and CAN-SPAM.

  • Harass, threaten, defame, or abuse others, or post content that is hateful, discriminatory, sexually exploitative, or otherwise violates our Community Guidelines.

  • Infringe any intellectual property, privacy, or other rights of any person.

  • Misrepresent your identity, credentials, or contributions, or manipulate attribution, Flow Credits, or reputation systems.

  • Scrape, harvest, or collect data from the Platform, or access it by automated means, except as permitted by us in writing.

  • Reverse engineer, decompile, or otherwise attempt to derive the source code of the Platform, except to the extent permitted by law.

  • Upload malware or interfere with, disrupt, or circumvent the security or integrity of the Platform.

  • Use the Platform to send unsolicited messages or to contact members outside the purposes of the Platform without their consent.

10. Flowstate Intellectual Property

The Platform, including its software, design, text, graphics, logos, and trademarks (excluding User Content), is owned by Flowstate or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes. No other rights are granted.

11. Third-Party Services

The Platform relies on and may link to third-party services, including messaging delivery (such as Twilio), payment processing, identity verification, and integrations you choose to connect. Your use of third-party services may be subject to their own terms and privacy policies, and Flowstate is not responsible for third-party services or content.

12. Privacy

Our collection and use of personal information is described in our Privacy Policy, available at goflowstate.com/privacy. By using the Platform, you acknowledge the Privacy Policy.

13. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FLOWSTATE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT MESSAGES OR NOTIFICATIONS WILL BE DELIVERED OR TIMELY; OR THAT ANY MATCH, OPPORTUNITY, CONTRIBUTION, OR VENTURE WILL PRODUCE ANY PARTICULAR RESULT, RECOGNITION, OR EARNINGS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWSTATE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWSTATE’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNTS YOU PAID TO FLOWSTATE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify, defend, and hold harmless Flowstate and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Platform, your violation of these Terms, or your violation of any law or the rights of any third party.

16. Dispute Resolution; Arbitration; Class Action Waiver

Informal Resolution First. Before filing a claim, you and Flowstate agree to try to resolve the dispute informally. Send a written description of your claim to [email protected], and we will do the same to your account email. If the dispute is not resolved within 60 days, either party may proceed as set out below.

Binding Arbitration. Except as provided below, any dispute arising out of or relating to these Terms or the Platform will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The Federal Arbitration Act governs this Section. Judgment on the award may be entered in any court of competent jurisdiction.

Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive or equitable relief in court for actual or threatened infringement or misuse of intellectual property or confidential information.

Class Action Waiver. You and Flowstate agree that disputes will be resolved only on an individual basis and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim (and only that claim) must proceed in court.

30-Day Opt-Out. You may opt out of this arbitration agreement by emailing [email protected] with your name and account email within 30 days of first accepting these Terms. Opting out of arbitration does not affect any other provision of these Terms.

Governing Law. These Terms and any dispute are governed by the laws of the State of New Jersey, without regard to conflict-of-laws rules, except that the Federal Arbitration Act governs the arbitration provisions.

17. Termination

You may stop using the Platform and close your account at any time in your account settings. We may suspend or terminate your access to the Platform if you violate these Terms or our policies, if required by law, or, with reasonable notice, if we discontinue the Platform. Upon termination:

  • Your Passport will be deactivated and removed from active matching.

  • Your Flow Credit balance will be forfeited, except as required by applicable law.

  • Content in your private Spaces will be deleted in accordance with our data retention schedule; contributions and attribution records in shared Spaces and Novas may be retained as described in Section 8.

  • Any outstanding obligations (for example, open bounties you have accepted) survive termination, along with Sections 5.8, 7, 8, and 13 through 19.

18. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide notice by email and through the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform before they take effect.

19. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Flowstate regarding the Platform.

Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver. Flowstate’s failure to enforce any provision of these Terms does not waive its right to do so in the future.

Assignment. You may not assign your rights or obligations under these Terms. Flowstate may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.

Force Majeure. Flowstate is not liable for failures or delays caused by circumstances beyond our reasonable control, including natural disasters, acts of government, internet or carrier disruptions, or third-party service failures.
